General Sales Terms and Conditions (T&Cs) - SEGRAETI INTERIORS, AE SARL

Article 1: Purpose and Scope:

These General Sales Terms and Conditions (T&Cs) establish the contractual basis governing the relationship between SEGRAETI INTERIORS, AE SARL RCI (hereinafter referred to as "the Seller") and its valued customers, in the context of the acquisition of luxury indoor and outdoor furniture, custom kitchen installations, purchase of decorative items, as well as interior decoration and architecture services offered in Monaco. These T&Cs generally apply to all sales made between the Seller and its customers, unless otherwise agreed upon in writing between the parties. By finalizing a sale, the Customer acknowledges having read and fully accepts the general sales and use conditions.

Article 2: Price and Payment Terms:

The prices of products and services are indicated in euros, all taxes included (VAT). Depending on the customer's location and status (professional), the amount may be exempt from taxation. The Seller reserves the right to modify its prices at any time, but products and services will be invoiced at the rates in effect at the time of order validation.

Special orders are subject to a contractual validation procedure. An initial deposit of 70% of the total order amount is required at the time of the estimate registration to validate the order. A second deposit of 20% will be required upon receipt of the product at the Seller's premises. Finally, the remaining balance of 10% will be required upon delivery to the customer, marking the completion of the order and satisfaction of all contractual obligations. Failure to meet payment deadlines may result in delays in order fulfillment and additional costs for the customer.

In the event of partial or total non-payment 48 hours after the payment demand by the company, the Seller reserves the right to cancel the sale and legal proceedings may be initiated for the recovery of the item. In its original condition, otherwise damages and interests may be claimed.

The Seller will not be required to deliver the ordered Products to the Customer and reserves the right of ownership if the latter does not pay the full price under the conditions indicated above.

Article 3: Order:

The customer may place an order with the Seller in writing, by phone, or in person at its store. Any order is firm and final, subject to acceptance by the Seller. The Seller reserves the right to refuse any order for legitimate reasons, particularly in case of non-compliance with these T&Cs or availability issues of products. The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute regarding payment of a previous order.

Article 4: Delivery and Installation

SEGRAETI INTERIORS declines all responsibility regarding the delivery of its products outside of its main point of sale. However, we are able to organize delivery upon customer request. In such cases, delivery costs and related expenses will be entirely borne by the customer.

Delivery and installation times are provided for informational purposes and are subject to variations depending on logistical and technical constraints. In case of significant delay, our team will inform the customer in a timely manner and implement appropriate alternative solutions.

4-1- Delivery Zone: Products ordered by the Customer will be delivered to Monaco as well as to the following areas: Europe and international.

4-2-Complete Delivery: Unless otherwise specified or unavailable for one or more products, delivery will be made in one go, including all ordered products.

4-3-Delivery Delay: In this case, the sums paid by the Customer will be fully refunded within fourteen days following the denunciation of the contract, without any compensation or withholding being applicable.

4-4-Carrier Responsibility:

If the Customer has chosen his own carrier, delivery will be deemed to have been made as soon as the Seller hands over the products to the carrier who accepts them without reservation. The Customer acknowledges that the carrier is responsible for delivery and that no warranty claim may be made against the Seller in case of delivery failure.

4-5-Verification upon Receipt: The Customer is required to check the condition of the delivered products and has a period of 24 hours. Maximum period from delivery to report any claim by email, accompanied by all necessary justifications (including photos if necessary). After this period and without compliance with these formalities, the products will be considered compliant and free from any apparent defects, and no claim will be validly accepted by the Seller.

4-6-Guarantee and Replacement:

In case of non-compliance or duly proven apparent or hidden defects by the Customer, the Seller undertakes to refund or replace the affected products as soon as possible and at its expense, in accordance with the provisions of articles L 217-4 and following of the Consumer Code as well as these T&Cs.

4-7-Transfer of Risks:

The transfer of risks of loss and deterioration of the products will be effective only when the Customer physically

 takes possession of the products.

Article 5: Right of Withdrawal

In accordance with current regulations, the customer has a withdrawal period of 7 days from the receipt of the products to exercise his right of withdrawal without having to justify reasons or pay penalties (Sovereign Order No. 6,702 of December 7, 2017, implementing Article 10 of Law No. 1,383 of August 2, 2011, on Digital Economy, as amended.). Article Premier. However, this right of withdrawal does not apply to products and services personalized according to the customer's specifications.

Article 6: Seller's Liability - Guarantees

The Seller guarantees its products and services in accordance with current legal provisions. In case of non-compliance or hidden defects, the customer can assert his warranty rights by contacting the Seller within the deadlines provided by law 24 hours. The Products provided by the Seller benefit from:

the legal conformity guarantee, for defective, damaged, or non-compliant Products,
the legal guarantee against hidden defects resulting from a material, design, or manufacturing defect affecting the delivered products and making them unfit for use, Article L217-12 of the Consumer Code.
The Seller's liability cannot be engaged in the following cases:

in the event of misuse, professional use, negligence, or lack of maintenance by the Customer, such as normal wear and tear of the Product, accidents, or force majeure.
The photographs and graphics presented on the site are not contractual and do not engage the responsibility of the Seller.
The Seller's warranty is, in any case, limited to the replacement or refund of non-compliant or defective Products.

Article 7: Protection of Personal Data

The Seller undertakes to respect the confidentiality of its customers' personal data in accordance with data protection regulations. The data collected will be used only for the purpose of order fulfillment and for commercial communications with the prior consent of the customer.

Article 8: Disputes and Applicable Law

In the event of a dispute, the parties undertake to seek an amicable solution. In the absence of an agreement, any dispute relating to these T&Cs will be submitted to the competent courts of Monaco. These T&Cs are subject to Monegasque law.

Applicable law -

These T&Cs and the operations resulting therefrom are governed and subject to Monegasque law.

These T&Cs are written in French. In the event that they are translated into one or more foreign languages, only the French text shall prevail in the event of a dispute.

The Customer is informed that he can in any case resort to conventional mediation, with the existing sectoral mediation bodies or any alternative dispute resolution method (conciliation, for example) in the event of a dispute.

All disputes arising from operations of purchase and sale concluded under these T&Cs and which have not been settled amicably between the seller or by mediation, will be submitted to the competent courts under common law.
